These terms govern your use of the Zyno Engineering website and products. Please read them — by using the Services, you agree to them.
Agreement
These Terms of Service (“Terms”) are an agreement between you and Zyno Engineering (“Zyno”, “we”, “us”). If you use the Services on behalf of an organisation, you agree to these Terms for that organisation and confirm you have authority to do so; “you” then includes the organisation. If your organisation has a separate written agreement with us, that agreement controls where it differs from these Terms.
The Services
The “Services” are our website and the software products we make available, including Beacon, SCOPE and the other products listed on zynoengineering.com. We continually improve the Services and may add, change or remove features. Some features may be labelled early access or preview; those are provided as they are, may change, and may not be supported.
Accounts
- Keep your sign-in secure. You are responsible for activity on your account.
- Give accurate information, and tell us promptly if you believe your account has been compromised.
- Workspace leaders control who can access their organisation’s workspace and what role each person has, and are responsible for the people they invite.
Acceptable use
You agree not to:
- break the law, or use the Services to infringe anyone’s rights, including privacy and intellectual property rights;
- upload malware, or attempt to gain unauthorised access to the Services, other accounts, or connected systems;
- interfere with or overload the Services, or get around usage limits, access controls or security measures;
- reverse engineer the Services except where the law allows it despite this restriction;
- use the Services to send spam, or to harass, defraud or deceive others;
- use AI features to create content that is unlawful, or that you present as human-written where that would mislead;
- resell or provide the Services to others without our written permission.
Your content
You keep ownership of the content you and your organisation put into the Services (“Your Content”). You give us permission to host, copy, process, transmit and display Your Content only as needed to provide, secure and support the Services, and as described in our Privacy Policy. We do not use Your Content to train AI models.
You are responsible for Your Content and for having the rights to use it with the Services. You can export your data using the export features, and you may ask us to delete it.
AI features
Some features generate text, analysis, research and recommendations using AI models. AI output can be inaccurate, incomplete or out of date, and similar requests can produce different results. Output is not professional advice — legal, financial, engineering, medical or otherwise. You are responsible for reviewing output and for the decisions you make with it. Research features may cite external sources; we do not control those sources and do not guarantee their accuracy.
Usage of AI features may be limited, for example to a number of requests per day.
Third-party services
The Services can connect to services run by others, such as Google, Microsoft, Atlassian and Asana. Your use of those services is governed by their own terms. When you ask the Services to read from or write to a connected service, you authorise us to do so on your behalf. We are not responsible for third-party services or for changes they make that affect the Services.
Fees
Some Services or features may require payment. Any fees, billing terms and plan limits will be presented to you, or set out in a separate agreement, before you are charged. Unless stated otherwise, fees are non-refundable and exclude taxes.
Our property
The Services — including their software, design, and the Zyno Engineering name and logos — belong to Zyno and its licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Services under these Terms. No other rights are granted.
Feedback
If you send us ideas or feedback, we may use them without obligation to you.
Export and compliance
You agree to comply with all applicable export control and sanctions laws in using the Services, and not to use them for any purpose those laws prohibit. You confirm you are not located in, or acting for, a country or person subject to comprehensive sanctions. You are responsible for determining whether any information you place in the Services is controlled or classified, and for not placing information there that you are not permitted to process with a third-party cloud service.
Suspension and termination
You may stop using the Services at any time. We may suspend or end your access if you breach these Terms, if required by law, or to protect the Services or other users. Where reasonable, we will give notice and a chance to export your data first. Sections that by their nature should survive termination — including Your Content, disclaimers, limitation of liability, indemnity and governing law — survive.
Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free or secure, or that output will be accurate.
Limitation of liability
To the maximum extent permitted by law, Zyno will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from or related to the Services or these Terms. Our total liability for all claims relating to the Services is limited to the greater of the amount you paid us for the Services in the twelve months before the claim, or one hundred US dollars. Some jurisdictions do not allow these limits, in which case they apply to the fullest extent allowed.
Indemnity
You will defend and indemnify Zyno against claims, damages and costs (including reasonable legal fees) arising from Your Content, your use of the Services in breach of these Terms, or your violation of law or of anyone’s rights.
Governing law
These Terms are governed by the laws of the jurisdiction in which Zyno Engineering is organised, without regard to conflict-of-law rules, and disputes will be resolved in the courts of that jurisdiction, unless a separate agreement or applicable law requires otherwise.
Changes to these Terms
We may update these Terms. We will post the new version here with a new effective date and, for material changes, give reasonable notice through the Services or by email. Continuing to use the Services after the changes take effect means you accept them.
